Federal Regulators Investigating Trumps SPAC Deal For New Social Media Platform

Photo by Win McNamee/Getty Images Getty Images Trump the former president of the United States announced in October that he was going to stand up against Big Techs tyranny by launching a media company that would feature a platform for social media called Truth Social. This new venture is expected to be competitive with Twitter and Facebook. Each of these platforms had previously banned Trump following his incitement for the January 6 Capitol riot. Trump was a long-time Twitter user who used it as a means of reaching his followers. However he is currently banned from both the Twitter and Facebook services. Jeff Kagan an industry analyst for wireless/telecom said that President Donald Trump was content with his ability communicate with the people using Twitter until they closed him down. Kagan sent an email explaining that President Trump was on a mission to discover new ways of reaching out to and sharing his thoughts with the world. Although this venture doesnt reveal whether Trump will seek higher office again it suggests that he would like to at least be part of the process and provide a platform for reaching the masses. He wouldnt have to worry about his social media measures being blocked or even filtered by his company. Kagan stated He would like to play. Kagan stated that if he cant use social media such as his Twitter account then he would have to make his own. This is an interesting idea because if successful it could open up new channels for conservatives to voice their views on politics. The future will only be seen. On Monday however there was an unexpected twist. It is still unclear what might be the next step. A special purpose acquisition firm (SPAC) which plans to merge with Trumps social media company revealed that the Securities and Exchange Commission had requested information from it about stock trading and communication with Trump before any deals were announced. The investigations by the SEC and the Financial Industry Regulatory Authority (FINRA) were disclosed in an 8-K filing with the SEC by Digital World Acquisition Corp. the special purpose acquisition company on track to merge with Trump Media amp; Technology Group CNBC.com reported on Monday. Digital World shares had risen by up to 1657 per cent in just a few days following the announcement. However very little information has been released. As a result the deal has drawn its share of scrutiny and Democratic Senator Elizabeth Warren of Massachusetts was among those who had called for the SEC to investigate whether any laws were broken. At the time however Digital World repeatedly told shareholders that it had not held substantive talks with a target company as SPACs are not supposed to have merger targets planned before they raise money from the public. On Monday Warren (@SenWarren) tweeted Nobody is above the lawand there may have been serious violations of securities laws during the propose merger of Digital World Acquisition Corp amp; Trumps media company. Im glad @SECGovand @FINRA are investigating. Digital World shares dropped by 5 percent Monday afternoon. While it is still illegal for SPACs not to discuss mergers prior to they become public it seems that the ex-president was talking about Digital World several weeks before that. The company also has not revealed names/affiliations to its investors which many consider strange. The SEC and the FINRA are investigating potential irregularities in the merger between the SPAC Digital World Acquisition Corp (DWAC) and Trump Media amp; Technology Group explained technology analyst Charles King of Pund-IT. The issues are whether or not there was any discussion between the two organizations as well as trading activity which may have taken place before the public announcement. DWAC stated it was cooperating with information requests. The SEC filed noted that its investigation did not result in an SEC finding that someone violated any law. SPAC also stated in a similar manner that FINRA requested that it not interpret its inquiry as a statement that FINRA had found violations of the federal securities laws and Nasdaq rules. Trump and the company probably didnt want this announcement to be trending on social networks. Senator Bob Dole Honored On Social Media By Americans On Both Sides Of The Aisle

In February the former Republican senator of Kansas said that he was currently being treated for stage four lung cancer. Elizabeth Dole (85) a former Republican senator of North Carolina is his widow. We are sad to announce the passing of Senator Robert Joseph Dole in his sleep early this morning. His death at the age of 98 was his third in a series of 79-year stints of faithful service to America. We will have more information soon. #RememberingBobDole the Elizabeth Dole Foundation (@DoleFoundation) announced via Twitter. Sen. Dole was an American World War II veteran who sustained serious wounds while fighting in Italy. He was injured when a German bullet struck his upper back right arm and collarbone. These injuries caused him to have limited mobility in his right hand and left arm as well as numbness. Dole became a politician after the war and served for 27 years including two terms as Senator for Kansas. Dole is most famous for the unsuccessful 1996 campaign against President Bill Clinton which was his third attempt to win the White House. In 1976 after Vice President Nelson Rockefeller had declined to run for the presidency in 1976 and Gerald Ford elected him as his running mate. This Generation Is The Greatest On Sunday there was a remarkable display of unity among a divided country. There was a flood of praise from both sides for Senator Dole. Many had nothing negative to say about this man who dedicated his entire life to public service. Senator Bob Dole was a dedicated supporter of the American experiment and to its highest ideals. Today we need to reflect on our mutual service and vow to follow the example set by Bob Dole for America. Judy and me join the nation to mourn the loss of an exceptional American life tweeted Rep. Holding Big Tech Accountable Much More To Be Done Especially With Social Media

[]They are not treated as publishers and they therefore have no responsibility for user posts. getty The House of Representatives Subcommittee on Communications and Technology (of Committee on Energy and Commerce) continued hearing testimony this week from witnesses on Big Tech including social media platforms. Frances Haugen a Facebook whistleblower testified during the hearings Holding Big Tech accountable: Targeted Reforms for Techs Legal Immunity. Kara Frederick (research fellow in technology policy at The Heritage Foundation) also gave testimony. She explained the issues that need to be resolved. Haugen talked out about the use of social medias divisive algorithm and Frederick said the same. He also criticized Republican legislators for ignoring right-leaning views. It is unclear how much liability the social media platforms should bear for content that is uploaded to their sites. These platforms dont want to be held accountable and the users suffering harm deserve better from us and we will act said Rep. Mike Doyle (D-Penn) chair of the subcommittee. Section 230 under the Communications Decency Act states that social media platforms such as Facebook or Twitter are not considered to be publishers. They therefore cant take responsibility for any users content. Critics warn that allows them to have it both ways they claim not to be responsible for what is said yet still delete posts that they argue violate their own community standards. Somehow they exist on a completely different plane and are allowed to have a completely different set of rules than everyone else said Rashad Robinson president of Color of Change one of the witnesses at Wednesdays hearing. The fact is that freedom of speech does not mean freedom from its consequences. Partisan Divide Lawmakers on both sides of the aisle agree there is a problem yet they cant agree on what the problem actually is! Frances Haugens whistleblowing is being drowned out because Congress returns to its old dog whistles where the Republicans view the platforms as muzzling conservative vocals and the Democrats see them exercise monopoly powers and not doing enough for the misinformation outbreak Bhaskar Chakravorti dean global business Fletcher School at Tufts University explained via email. In parallel the Biden administration has lined up a whos who of get-tough-on-tech stars Messrs Wu Khan Kanter and Chopra.Chakravorti stated that this all amounts to rhetoric over sound strategy. While there is a lot of legitimate reason to create a framework for these platforms and visionary policy to govern them it seems that we are stuck with partisan leadership who doesnt have the guts to move forward. We are left to whistling in darkness thanks to both the whistleblowers as well the dog-whistlers. Does anyone have to be held accountable? Most people in tech see the problem but dont think enough is being done. Whether enough is being done the answer is no. Big tech ranging from search engines to social platforms has for many people a major trust issue. Many worry about their data being sold and the possibility of shadow banning public opinion skewing or other problems. Tom Garrubba was vice president of Shared Assessments. The global membership organization is dedicated to helping people to identify the most effective practices education and tools that can be used to increase third party risk insurance. As a government and a society we are doing nothing to hold Big Tech accountable warned Jane Grafton vice president at cybersecurity research firm Gurucul. Its not only social media. Facial recognition software as well as other machine-learning technologies are being misused in practice. Theyre biased towards certain situations and demographics. Deepfakes will not cease to be influential on national opinion. Many strategic decisions are driven by the profit motive at Big Tech firms. In the case of social media the problem has grown because the platforms are so widely used yet remain completely unregulated. Grafton stated via email that Social media platforms began benignly but have devolved into the point where they give extreme opinions and even lies to its outsized audience. Although it might be the ideal thing to get social media off the political stage that is almost unlikely to occur. Everyday users of social media platforms must become more conscious of how unsupported statements can supplant reality in their daily conversations.Perhaps we can help people who use social media or other tech that have the potential to cause harm. They are Publishers According to conservatives the social networks want Section 230 to continue to protect them. However they also have the ability to suppress or ban any opinions that arent their favorites. Republican lawmakers believe social media platforms need to be treated like publishers in order to lose these protections. Many big tech companies have emerged as todays town criers roles that have evolved organically and that have also been self-architected. Garrubba said that one problem is user PII or Personally Identifiable Information (Personally Identifiable Information) being sold to high-bidders such marketing firms. He added that another area of concern was what many consider to be a revolving door between Federal government and Big Tech positions. If there is a time of reckoning in the area of legislating large tech having former colleagues and friends in positions that can help to liaise with big tech entities as well as those who are working on public policy could have an impact on softening legislation. This is also why some of the biggest tech players are diversifying to ward of potential antitrust legislation. Unanswered questions such as Is there a free and open discussion being muzzled? Garrubba stated that some claim that even a sexist comment about an election or public issue could get someone banned from and from major tech platforms. This can have a chilling impact on public discourse. China is believed to have used social scoring which decides the privileges and travel capabilities of people as well as their employment rights. This is something that some are worried about in America and other countries. They find it particularly concerning especially if the final arbiters are big tech. Is Rumble A Right-Wing Social Media Company Already The Next Meme Stock?

Dan Bongino is one of many conservative media personalities that were highlighted in SPAC prospectus []Rumble which hosts content by Bongino has gained popularity on the right-wing web. Getty Images for Politicon Rumble is a rapidly-growing social media company with strong support among conservative Americans. Next year Rumble will go public in an SPAC deal valued at more than $2 billion. This transaction would be similar to one that former President Trump envisioned for his right-wing media group. Rumble plans to merge with Cantor Fitzgeralds investment firm in order to go public. Cantor Fitzgerald is a Wall Street bank that has been around for decades. Rumble will be left with $300 million cash in the deal according to the statement released Wednesday night. They expect to be done by the 2nd quarter of next year. Cantor Fitzgeralds investment vehicle for Cantor Fitzgerald already traded publicly under the CFVI ticker and saw shares increase by almost 25% to $12. Rumble which was founded in 2013 bills itself as a true neutral platform but has become a popular site among Republicans over the last two years as criticism of existing social media platforms like Facebook and Twitter has increased among conservatives who say they unfairly limit speech. Rumble is designed to be the rails and independent infrastructure that is immune to cancel culture Rumble CEO and founder Chris Pavlovski said a statement. We are a movement that does not stifle censor or punish creativity and believe everyone benefits from access to a neutral network with diverse ideas and opinions. Rumble exploded in popularity following Trumps 2020 presidential election loss with its monthly users rising from around 2 million to over 20 million at the end of last year. It now has nearly 40000000 users. Fueling that are conservative media personalities whove made a home for themselves on Rumble. An investor prospectus for the SPAC highlights figures such as Dan Bongino Rep. Devin Nunes Glenn Greenwaldand Trump. Putting a spotlight on the former presidents presence on Rumble is ironic since the ex-president has lined himself up as a competitor to Rumble. He plans to create a social media app called Truth Social with a business plan nearly identical to Rumbles: Offer conservatives a new place away from traditional social media. Right-wingers have also been flocking to Gab Telegram and the relaunched Parler. Trump also wants to make use of a SPAC in order to raise cash and attention for Truth Social. He is taking advantage the trend around blank-check corporations. He and Rumble see SPACs as a great lure. These allow them to bypass traditional funding routes which might not be available to openly partisan companies. This opens up a path to public markets. This allows them to rally support from users and their supporters thereby turning them into investors. The publicly traded investment vehicle which Trump plans to join has seen its shares swing from less than $10 to over $100 since Trumps announcement of the SPAC. Since then they have dropped to below $50. Those shareholders arent driven by what has traditionally motivated interest in a stock: concrete financial figures and future projections. In his SPAC prospectus Trump made a very brief pitch. Instead he broadly outlined a dream about competing with every media company from Disney to Facebook while building a web-services arm that would theoritically compete with Amazons own such unit. (Why? Amazon has sometimes removed conservative sites from its listings because they contain controversial content. Trump could find a niche business offering the same product but not caring what it publishes. Rumble offers more which could be attractive to investors. Unlike Trumps company which has yet to launch as much as a beta-version app Rumble does actually have an existing eight-year-old business though its prospectus offers no insight on basic markers of corporate success like revenue or profit. Rumble does show a recent rapid increase in user numbers and significant engagement. Rumbles prospectus states that 8 Billion minutes of video was viewed by users in the 3rd quarter. That is 3900% more than a year ago. And Rumble also proposes to set up a web-hosting business similar to Amazons. No tangible business proposals arent really what seems to be propelling the share prices for Trump and Rumble. These companies have become meme stocks and securities that are prone to gyrations in prices as well as insane investor sentiment. What is the market worth of a Trump-branded social network company? Are Rumble shares worth the increase that theyve seen this morning? The underlying financials dont fully support either. Instead buying their stock seems more like investing in a social statement rather than betting on future cash flows and profits. Remember Trumps business has neither cash nor income and while Rumble presumably might it hasnt detailed that publicly. At the start of meme stock mania this year buying a GameStop share was a comment that you were online youngand wanted to flip the bird to existing traditional investors who had battered the stock. Some individuals did very well trading GameStop stocks and were able to join the club. Others lost lots of money but they were allowed to join. Trump shares and Rumble are a way to express a similar view. But this time its Big Tech. Those shares are as much about belonging to a online community as they are about financing the operations of a media companyjust as investing in GameStop was only partially about a bet on the future of buying videogames in person from a shopping mall store. Lawmakers Marjorie Taylor Greene And Nancy Mace Show Open Hostility To One Another On Social Media

House Speaker Tip OlNeill and President Ronald Reagan had an intimate relationship. Even President Barack Obama and House Speaker John Boehner could come to terms with their differences. George H.W. Bushs close friend was President Bill Clinton. Bush is very close friends with President George W. Bush. Tip ONeill and Ronald Reagan would be friends on Facebook if they were alive today. However that is not the case for most lawmakers. CNN last week reported that many House of Representatives feel they are in an increasingly toxic environment at work. This is one that has been characterized by bitter exchanges and threats as well as fears over the loss of decorum. Just weeks ago two Republicans and Democrats censured Rep. Paul Gosar for sharing an animated social media video that showed the death of Rep. Alexandria OcasioCortez. Anti-Social Conduct It is clear that legislators are not shy in their disdain for one another. A series of exchanges took place between Republican Rep. Lauren Boebert (Colorado) and Democratic Rep. Ilhanomar (Minnesota). After the two spoke on the phone which seemingly only made matters worse each took to social media to call out the other! Not just political enemies from the same party are sharing their dirty laundry via social media. Two Republican lawmakers took to Twitter Tuesday to vent their frustrations to each other. Rep. Marjorie Taylor Green a Republican from Georgia expressed dissatisfaction with Rep. Nancy Mace (R.S.C.) reaction to Rep. Boeberts hostile remarks towards Rep. Omar. Greene accused Mace instead of her fellow Republicans of aligning with Omar and progressive wing Democrats. @NancyMace the trash at the GOP Conference. Never attacked by Democrats or RINOs (same thing) because she is not conservative shes pro-abort. Mace you can back up off of @laurenboebert or just go hang with your real gal pals the Jihad Squad. Rep. Greene wrote Youre out of your league (@mtgreenee). Rep. Mace fired back youre. And while Im correcting you Im a pro-life fiscal conservative who was attacked by the Left all weekend (as I often am) as I defied China while in Taiwan. The only thing I am is not a racist or religious bigot. It might be worth trying that in your own little league. Mace shared some colorful Emojis that drove home her point. Such hostility even among those on the same side of the aisle is likely only to get worse before it gets better. This shouldnt be viewed as a good thing for democracy. Matthew J. Schmidt Ph.D. is an associate professor of political science national security and political science at Yale University. It fires up your staff You can also see the other side. But you get clicked either way. Schmidt said that there is a political purpose to generating attention in this way even though it involves attacking someone within your party. This is a Machiavellian view of this behavior. This is a clear message to the world that those who break professional code of conduct can be seen as immature children arguing online. Schmidt stated that most people have become accustomed to it by now. He suggested that he thought it disturbs the atmosphere for debate and it makes us more cynical. Cynicism is a killer of democracies. If people want to manage themselves they must trust one another.
